Constitution and By-laws

In June 2009 the Constitution and By-Laws Committee was convened with three primary objectives:

  1. Bring the Constitution and By-laws up-to-date and in line with the way the chapter is actually conducting activities
  2. Clarify and provide more consistency in the Board of Directors’ roles and responsibilities
  3. Update organizational policies and procedures

Each of these objectives was aimed at the goal of improving organizational transparency.

After a process that included participation by the chapter membership, development of recommendations by the Constitution and By-Laws Committee, and review by the Board of Directors, the Committee’s recommendations were presented to and approved by the membership at the November 16, 2009 general meeting.

Updating organizational policies and procedures were deemed to be a separate matter and process that was not undertaken by the Committee.
